What are assignments and delegation of contracts and what rights and obligations do they confer? Discuss in your own words and provide an example of each.

Ans- Assignment means to transfer all of one's or some rights under an aggreement to someone else. For Example- I assigned the right to receive the payments of my parents under the contract.

Delegation means to transfer some or all of the one's obligations under the agreement to some other people. For Example- I delegated my performance obligations to the subcontractors under the contract.

Assigment refers to transfer the rights by the party whether the delegation means to transfer the obligations or duties. Assignments are valid until it is expressly prohibited or the assignment involves any burden on the obligor's performance.

Assignment can be revokable unless

• it is in writing.
• the revoking party is estopped.
• There is performance done by the assignee.
• When there is the involvment of consideration.

Delegation of Obligations or Duties is valid unless it is expressely prohibited. It is for the duties comprising the skill or personal judgement. Delegation changes the obligee's expectancy.

In a Contract, every party has some rights. The Party who has some rights-Assigner gives their party to the other person known as the Assignee.

Delegation of Authority is contractually agreed but there are some times when delegation is not allowed. That are as follows-

• When the Delegation of the duties would change the overall agreement scope.
• If One gives the promise to repay the debt, that can't be delegated.
• Delegation is not allowed when the parties in contract draft into the agreement.
