As per Section 2-201 of UCC, the formal requirements of sale must be in writing with the exception of all of the above mentioned clause, when dealing with sale of goods over $5000. Specially manufactured goods are not eligble for sale in ordinary course of business. In terms of goods, if amount is fully accepted or the goods are already delivered to the other buyer, then the contract is valid under exceptions, in spite of it not satisfying the subsection 1 of the Act.
