“Managers who fail to provide proper leadership and to institute systems that facilitate ethical conduct share responsibility with those who conceive, execute, and knowingly benefit from corporate misdeeds” (Paine, 1994). When leaders ignore corporate ethics, they run the risk of taking on personal and or corporate liability legally (Paine, 1994). Currently federal guidelines recognize the organizational and managerial roots of unethical conducts, and as such, fines are based partly on the steps taken on the part of the company to prevent misconduct (Paine, 1994).
A specific way for leaders to balance ethics obligations with the needs of their stakeholders is to institute an integrity based approach (Paine, 1994). Said approach should be incorporated into the day to day operations of the company in order to prevent any possible ethical lapses and to trigger employees to act morally with thought to action (Paine, 1994). By incorporating ethics into the daily running of the company it will become second nature to employees and subcontractors, which will make the transition to completely ethical behavior easier on all stakeholders.
Another way for leaders to balance ethical practices with needs of stakeholders is to implement goals and incentives for employees. For example, setting minimum work quotas and productivity incentives to motivate employees to act in the desired ethical vein. These quotas and incentives should, however, be reasonable and well policed by the leadership team to ensure that employees do not go rogue into that gray area of unethical behavior (Paine, 1994).

The above description is very detailed and is able to properly convey the true importance of leaders in an organization. A leader is supposed to be a pillar of inspiration and motivation for all the staff. He/she focuses on continual improvement and drives the entire firm towards achieving the company's goal while uphoding the values of the organization. This would also include him/her being instrumental in driving a cultural change in the organization, such that ethics are an essential part of everyone's life (professionally as well as personally).He/she has to motivate the other employees to be ethical and demotivate the unethical action doers. Strict actions and precautionary measures must be in place to ensure unethical behavior is controlled and the defaulters are appropriately punished.
