The deficiencies in Health South’s governance structure were that the executive management was made up of former Ernst & Young auditor’s, and it was the external audit company. It causes a huge conflict of interest because they deceive the audit engagement team and were able to shield the public; and seamlessly control the process. Furthermore, the company does not have an efficient oversight Board of Directors but instead strongly dominated by individuals who hold a high deal of control over the management team.
